It is a capital business before it is a marketing business: you pay for inventory, testing and freight months before the cash comes back, and your account survives on documentation, because brands, Amazon and federal regulators all ask you to prove where the goods came from. Expect gated categories, invoice audits, thin first-year margins, and a real chance that a category or a brand simply says no.

The work behind the launch

  1. Decide what you sell and whether wholesale is open to you

    Before anything legal or financial, narrow to a product area you can judge: something you would notice quality problems in, with repeat purchase and stable demand. Then test whether the door is even open. Pick ten brands in that area and look at who sells their ASINs on Amazon now, whether the brand sells direct, and whether the listings look policed or a price war. Brands that already have twenty sellers undercutting each other are not opportunities. Brands with no Amazon presence, or one sloppy seller, are. Write a one-page thesis naming the area, three target brands, why each would want another authorised seller, and what you will do if all three say no. Keep it, because in month four you will be tempted to buy whatever is cheap, and this page is the thing that stops you.

  2. Form the entity, get the EIN, separate the money

    Wholesale accounts, Amazon verification and federal paperwork all assume a business exists. Register the LLC or corporation with your secretary of state first, because the IRS warns that applying for an EIN before the entity exists can delay the application. Then apply for the EIN free on the IRS site; you get one per responsible party per day. Open a dedicated business bank account and a card used for nothing else, because your evidence in an Amazon invoice audit is a clean paper trail from your business account to the brand. Check whether you must file a beneficial ownership report with FinCEN. Set up cloud folders now, one per brand, one per state, one for compliance certificates, because every later phase produces documents someone will demand on short notice.

  3. Register for sales tax and get the resale certificate

    This is the phase that unlocks wholesale. Register in your home state for the sales tax permit, seller's permit or certificate of authority that state issues; the row for your state in this room names the document and the agency. That registration number is what the resale certificate needs. Most states require the buyer to hold their own in-state number: Kansas Form ST-28A says only businesses registered to collect Kansas tax may use it, and New Jersey Form ST-3 requires the buyer to certify it holds a Certificate of Authority. Some states accept the multijurisdiction MTC or Streamlined F0003 certificate from out-of-state buyers and some do not, so ask before you rely on one. Separately check whether your state requires a statewide general business licence, which several do on top of tax registration. File a copy of every certificate you issue to a supplier.
